二、在美国成立公司的条件： Conditions on establishing a company in United States

1．提供一人股东或两个以上股东护照或(18岁以上)复印件、申请注册美国公司每个股东所占的股份比例（%）。  

Provide the passport or its copy of one shareholder or more than two shareholders otherwise (over 18 years old), the share proportions (%) taken up by each shareholder of the company to be registered in America.  

2．提供美国公司名称，经美国公司注册登记机构核名如无重复则可申请公司名称没有任何限制，只要查册没有重名即可；一般名称后面冠以CORP (CORPORATION), LTD (LIMITED), INC (INCORPORATED)或CO (COMPANY) 、LLC等字样。注册时请附上两个或以上的公司名称，以免因每选择无法使用时而延误。

Provide names of the company to be set up in America. Where there is no repetition upon the name approval of company registration organs in United States, the name can be approved without any limitation; generally, the name is ended with CORP (CORPORATION), LTD (LIMITED), INC (INCORPORATED) or CO (COMPANY), LLC. In case of its any delay due to failure to be utilized, please attach two or more names when registering.

3、注册资本  Registered capital

不同的洲，注册资本不一样，一般为50000美金（详细请参考各洲的注册地址），不需要验资及到位。在注册公司时，需要说明公司成立时发行的股票数额。通常公司初始发行的股票数额为3000-50000股。可以在公司成立后任何时候增加贵公司股票发行的数量。

Diversified states have different requirements for registered capital. Generally, the registered capital is USD 50,000 (please take the registered address in different states for reference) without necessity to be verified and paid-up. As the company is registered, the equity amount issued at its establishment shall be notified. Generally, its initial issuance amount of equity is 3,000 to 50,000 shares. The amount can be increased at any time after the company’s establishment.

三、在美国成立公司需要准备的材料： Materials required by establishing a company in United States: 

1、拟定名称；

 Names to be used;

       2、提供股东董事的身份证复印件（股东是公司则提供公司执照复印件）； 

          Provide the copies of the ID cards of Shareholder and Director (if the Shareholder is a company, the copy of Business License of the company shall be provided);

       3、股东认购股份的比例；  

          Proportions of the shares subscribed by Shareholders;

       4、确定注册资金；  

          Confirm registered capital;

四、注册美国公司美国公司注册完成后，交付客户有以下文件： After the registration is finished in United States, the following documents shall be delivered to clients:

1.州务卿签发的美国公司注册证书(CI)；   

CI of the American company issued by the Secretary of State;  

2. 美国公司组织大纲及企业章程；   

Organizational outlines and Articles of Association of the American company;   

3. 美国公司注册后钢印章、条形章各一枚；   

One steel seal and one bar-type seal after the registration of the American company;

4. 公司股票；

Shares of the company;  

5. 首次董事会记录；  

Minutes of the first Directors’ Meeting;

6. 注册成功后可以在政府的官网上查到
